Kraken in Europe: MiCA Licence, History, and Institutional Focus

Kraken is one of the longest-operating cryptocurrency exchanges still active today. Founded in 2011 and launched publicly in 2013, it has built a reputation for security, regulatory engagement, and a focus on institutional and professional traders. Its European operations are authorised under the EU's Markets in Crypto-Assets Regulation (MiCA).

Founding and Corporate History

Kraken was founded by Jesse Powell in San Francisco in 2011, though the exchange did not open to the public until September 2013. Powell, who had previously helped Mt. Gox recover from an early security breach, built Kraken with a strong emphasis on security and regulatory compliance from the outset.

The company is operated by Payward, Inc., a privately held corporation. Unlike Coinbase, Kraken has remained private and has not pursued a public stock listing, though the company has discussed the possibility of an IPO at various points. Kraken has raised capital from investors including Hummingbird Ventures and, in later rounds, from institutional investors at valuations in the billions of dollars.

Jesse Powell stepped down as CEO in September 2022, handing the role to Dave Ripley, who had previously served as Kraken's Chief Operating Officer. Powell remained on the company's board. The transition was described as planned and orderly, with Ripley continuing the company's existing strategic direction.

European Presence and Pre-MiCA Authorisations

Kraken has maintained a significant European presence for many years. The company operates Kraken Financial, a Wyoming-chartered Special Purpose Depository Institution (SPDI) in the United States, and has pursued regulatory authorisations in multiple jurisdictions globally.

In Europe, Kraken registered with the Financial Conduct Authority (FCA) in the United Kingdom as a cryptoasset business under the UK's Money Laundering Regulations. It also obtained registration with the Financial Crimes Enforcement Network (FinCEN) in the US and pursued various European national registrations ahead of MiCA.

Kraken's European entity pursued MiCA authorisation through the standard CASP licensing process. The exchange has historically been based in part out of Ireland for its European operations.

MiCA CASP Licence

Under MiCA, which came into full effect for Crypto-Asset Service Providers on 30 December 2024, Kraken's EU entity holds a CASP licence. The licence covers the operation of a trading platform for crypto-assets, exchange services between crypto-assets and fiat currencies, and custody and administration services.

Kraken has been noted by industry observers as one of the exchanges that engaged constructively with the MiCA consultation process, submitting responses to ESMA's technical standards consultations. The exchange's long history of regulatory engagement positioned it well for the MiCA authorisation process.

Institutional and Professional Trading

Kraken is particularly well-regarded in the institutional and professional trading segment. Its Kraken Pro platform offers advanced order types, deep liquidity, and competitive fee structures for high-volume traders. Kraken Institutional provides OTC (over-the-counter) trading, custody, and prime brokerage services for institutional clients including hedge funds, family offices, and corporate treasuries.

The exchange also operates Kraken Futures, which offers perpetual and fixed-term futures contracts on major crypto-assets. The availability of specific futures products for EU users is subject to MiCA's requirements and applicable national rules on derivatives.

Kraken's API is widely used by algorithmic traders and quantitative funds, and the exchange is known for the reliability and depth of its market data — a factor that has made it a preferred data source for institutional market participants.

Security Record

Kraken has maintained a strong security record relative to many of its peers. The exchange has not suffered a major hack resulting in significant customer losses, in contrast to several other prominent exchanges. It employs cold storage for the majority of customer funds and has published information about its security practices, including proof-of-reserves attestations.

In 2023, Kraken disclosed a security vulnerability that had been reported by a researcher, which it resolved without customer funds being lost. The incident attracted attention due to the circumstances of its disclosure, but no customer assets were compromised.
